MUSIQLOUD -- Terms of Service & User Agreement

1. Definitions

• Platform: MusiQloud website, apps, APIs & integrated services, including GlowMarket Nexus.
• User: Any individual or entity accessing or creating an account.
• Content: Audio, text, images, metadata, AI-generated assets, or other uploaded/generated materials.
• Pro User: User with purchased subscription or upgrade.
• GlowMarket Nexus: AI-native theme generation & trading ecosystem.
• MusiQMatch: Proprietary discovery & collaboration feature.

2. Platform Purpose & Content Policy

• Content must be music-related (creation, collaboration, promotion).
• Non-music content, political, lifestyle posts are prohibited.
• MusiQloud may remove content at any time without notice.
• No harassment, intimidation, or demeaning behavior toward creators.

3. AI Inclusivity & Zero Tolerance

• AI-generated music, visuals & themes fully permitted.
• No harassment of AI-assisted creators.
• Hate speech leads to immediate & permanent account termination.

4. Intellectual Property & User Content

• Users retain ownership of their content.
• Users grant MusiQloud a non-exclusive worldwide license to host & display uploaded content.
• Proprietary Design & Branding: The unique visual identity, features, UI/UX style (including glassmorphism elements), and branding of MusiQloud are protected. It is strictly prohibited to copy or replicate MusiQloud’s presentation, features, or style for use on any competing or similar website.
• Audio Downloads: Users acknowledge that uploaded audio files can be downloaded by others; this functionality cannot be disabled. Uploading and sharing audio files is done entirely at the user's own risk and responsibility.
• Copyright infringement = termination & forfeiture of paid features.

5. Prohibited Commerce & Illegal Activity

• No sale/promotion/facilitation of illegal goods or services.
• Violations may be reported to authorities.

6. Security, Spambots & User Vigilance

• Advanced detection systems protect from bots & malicious actors.
• No system is infallible; MusiQloud not liable for breaches.
• Exercise caution when clicking links, verify profiles & external sites.

7. User Responsibility & Safe Practices

• Do not share passwords or sensitive information.
• Report suspicious accounts immediately.
• Use critical judgment when interacting with content or other users.

8. Payments, Wallet & GlowMarket Nexus

• Revenue split: 70% creator, 20% platform, 10% Nexus DAO.
• All purchases final; no refunds.
• Wallet credits non-transferable, no value outside platform.
• Payout Notice: Currently, no payouts are being processed. MusiQloud is not yet a registered company and this feature is strictly in a testing phase while we remain in beta.

9. User Behavior

• Respect all creators and users.
• No spam, trolling, harassment, or offensive content.
• No promotion of competing platforms from your timeline or within groups.
• Follow platform rules at all times.

10. Content Moderation

• MusiQloud may remove any content violating rules.
• Moderation decisions are final.
• Repeated violations can lead to permanent ban.

11. Advertising & Promotion

• No unsolicited advertising allowed.
• Only approved promotion permitted.
• Violations may result in suspension or ban.

12. Blog & Editorial Guidelines

• Only high-quality blog articles of at least 800 words are accepted.
• Blogs may not be used solely for backlinking or sharing links without substantial context.
• Articles must provide genuine value, offering interesting and informative content for the community.
• Spamming or using blogs purely for SEO manipulation is strictly prohibited.
• A maximum of 2 affiliate links is permitted per blog post.

13. Third-Party Services

• Platform may integrate third-party services.
• Users must comply with third-party terms.
• MusiQloud not responsible for external service failures.

14. Privacy

• See separate Privacy Policy page.
• Data handled per GDPR and Dutch law.

15. Disclaimers & Limitation of Liability

• Platform provided "as is".
• No guarantee of success, income, or collaborations.
• MusiQloud not liable for user interactions or content.

16. Indemnification

• User indemnifies MusiQloud against claims, damages, losses, legal fees from TOS violations.

17. Account Termination

• MusiQloud may suspend or terminate accounts at discretion.
• No refunds upon termination.

18. Modifications

• MusiQloud may update Terms at any time.
• Continued use = acceptance.

19. Governing Law

• Terms governed by laws of the Netherlands.
• Disputes under Dutch jurisdiction.

20. Beta Status & Platform Integrity

• Beta Platform: MusiQloud is currently in beta. Services are provided "as is" and may be subject to interruptions, bugs, or data loss.
• No Reverse Engineering: Users are strictly prohibited from attempting to decompile, reverse engineer, or extract the source code, design logic, or protocols of MusiQloud features, including the GlowMarket Nexus dashboard and its AI-native integration.
• AI Accountability: Users are solely responsible for the legal compliance and copyright status of any AI-generated content they produce or upload.
• Age Requirement: Users must be at least 16 years of age or have explicit parental consent to use the platform.
• Right to Refuse: MusiQloud reserves the right to refuse service, terminate accounts, or remove content at its sole discretion without prior notice.
